Item 8.01 Other Events

On August 21, 2026, the Board of Directors expanded the Company’s current share repurchase program by authorizing the Company to repurchase up to an additional 15 million shares of issued and outstanding common shares. This share repurchase authorization is in addition to shares remaining under the Company’s existing repurchase authorization of 15 million shares effective January 26, 2018. This repurchase authorization does not have a fixed expiration date. Information regarding share repurchases and outstanding repurchase authorizations is available in the Company’s periodic reports on Form 10-Q and Form 10-K filed with the Securities and Exchange Commission.
