Item 8.01 Other Events.

On February 22, 2023 (the “Expiration Date”), the equity incentive plan adopted by City Holding Company, a West Virginia corporation (“City”) in 2013 (the “2013 Incentive Plan”) expired pursuant to its terms. As of the Expiration Date, no additional grants have been made or will be made pursuant to the 2013 Incentive Plan. All units previously granted under the 2013 Incentive Plan will remain subject to the terms of the 2013 Incentive Plan.

As of the Expiration Date, a total of 462,170 stock awards had been granted pursuant to the 2013 Incentive Plan. Included in the total number of units granted are a maximum of 30,361 performance stock units that may be issued based upon the performance of City’s named executive officers should they achieve their highest levels of performance over the vesting periods of the grants.
