Explanation of Responses:

1. Reflects for estate planning purposes the transfer of interests in a limited partnership, whose general partner is a limited liability company, over which the Reporting Person has investment discretion, for a note in an aggregate principal amount based on the value of such interests. The number reported reflects the number of shares held by the limited partnership that corresponds with the limited partnership interests transferred. No shares of common stock were transferred.

2. These shares are held by the limited partnership referred to above in footnote (1).

3. Reflects a transfer made between a grantor retained annuity trust and the reporting person. Such transfer was exempt from reporting pursuant to Rule 16a-13 of the Securities Exchange Act of 1934, as amended.

4. These shares are held by the trust referred to above in footnote (3).

5. These shares of common stock are held by a limited partnership (the "Partnership"), which is an entity controlled by the Reporting Person. As previously reported on a Form 4 filed on May 18, 2018, these shares of common stock are being held by the Partnership solely for purposes of future charitable donations.

6. These shares of common stock are held by a limited liability company of which the Reporting Person is the managing member.

7. These shares of common stock are held by the Reporting Person's spouse.
