Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 6, 2025, Donald Alvarez stepped down as a member of the board of directors (the “Board”) and Chief Financial Officer of Cyngn Inc. (the “Company”). Mr. Alvarez’ decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. As previously disclosed, effective June 6, 2025, Natalie Russell, the Company’s Director of Accounting, will serve as the Company’s Interim Chief Financial Officer.

The Company wishes Mr. Alvarez all the best in his future endeavors and thanks him for his contributions to the Company.
