Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 2, 2026, Lawrence Leisure notified the Board of Directors (the “Board”) of DarioHealth Corp. (the “Company”) of his decision to retire from the Board, effective September 2, 2026, for personal reasons. Mr. Leisure’s decision to retire was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
