Item 5.02: Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 26, 2022, the Compensation Committee of the Company’s Board of Directors (the “Board”) approved a salary increase for Chief Technology Officer, Peter Shelus. Effective February 1, 2022, Mr. Shelus’ annual salary will increase to $275,000.
