Item 8.01. Other Events.
On May 20, 2025, DaVita Inc. (the “Company”) issued a press release, made pursuant to Rule 135c promulgated under the Securities Act of 1933, as amended, announcing the upsize and pricing of its previously announced private offering (the “Notes Offering”) of the Company’s 6.750% Senior Notes due 2033 (the “2033 Notes”). The aggregate principal amount of the 2033 Notes offered in the Notes Offering was increased from $750 million to $1 billion, and the Notes Offering is expected to close on May 23, 2025, subject to satisfaction of customary closing conditions. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
