Explanation of Responses:

1. Represents an award of Restricted Stock Units ("RSUs") granted to the Reporting Person on September 17, 2024 (the "Grant Date"). Each RSU represents a contingent right to receive one share of common stock, par value $0.001 per share of Sonendo, Inc. (the "Issuer"). The RSUs vest in full on the earlier to occur of: (i) the one year anniversary of the Grant Date (ii) and the date of the 2025 annual meeting of stockholders, subject to the Reporting Person's continued service on the Board through the applicable vesting date.
