Explanation of Responses:

1. Represents the vesting of Restricted Stock Units ("RSUs") on May 27, 2025.

2. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

3. On June 4, 2024 the Reporting person was granted RSUs. The RSUs vested on the earlier to occur of (i) June 4, 2025 and (ii) the day immediately prior to the Issuer's next annual meeting of stockholders following the grant date, in either case, subject to the Reporting Person's continued service to the Issuer through the applicable vesting date.

4. The RSUs vest on the earlier to occur of (i) June 3, 2026 and (ii) the day immediately prior to the Issuer's next annual meeting of stockholders following the grant date, in either case, subject to the Reporting Person's continued service to the Issuer through the applicable vesting date.
