Explanation of Responses:

1. Represents restricted stock units ("RSUs") issued to the Reporting Person as consideration for her service on the Issuer's Board of Directors. Shares will be issued in full upon vesting, which is scheduled to occur on the one-year anniversary of the grant date.

2. Amount reported includes 3,203 shares transferred into the Mary Allis Curran Trust previously reported as directly held. Amount reported also includes 1,398 shares of the Issuers common stock acquired pursuant to a broker-administered dividend reinvestment plan.

3. Amount reported includes 150 shares of the Issuer's common stock acquired pursuant to a broker-administered dividend reinvestment plan.
