Explanation of Responses:

1. Each Restricted Stock Unit (RSU) represents a contingent right to receive one share of Hyzon Motors, Inc. Class A Common Stock.

2. The RSUs were granted on February 4, 2022 and will vest in equal installments on each of November 11, 2022, 2023 and 2024, subject to the Reporting Person's continued service with the Issuer.
