Explanation of Responses:

1. Restricted Stock which vests in full on the first anniversary of the date of grant.

2. Includes 3,801 shares of restricted stock subject to a vesting schedule set forth in the restricted stock grant and subject to forfeiture upon the occurrence of certain events specified in the restricted stock grant.

3. Reflects an adjustment to the total number of shares previously reported by the reporting person after a reconciliation of such person's ownership records. Previously, the aggregate beneficial ownership in column 5 of Table I was inadvertently overreported by 13,711 shares. Additionally, shares held by the Fargo 2009 Rev Trust were previously inadvertently reported as directly beneficially owned by the reporting person and are now reported as indirectly beneficially owned.
