Explanation of Responses:

1. On June 13, 2024, the reporting person established a grantor retained annuity trust with an independent trustee (the "2024 GRAT"). The reported shares represent an annual annuity payment from the 2024 GRAT to the reporting person.

2. These shares are held in a grantor retained annuity trust created on August 22, 2025 (the "2025 GRAT"). These shares are held in trust for the benefit of the reporting person and his children. The reporting person is the Trustee of the 2025 GRAT.
