Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Class A common stock of the Issuer. The RSUs will be settled in either Class A common stock of the Issuer or cash (or a combination thereof). 100% of the RSUs will vest on the earlier of either (a) May 23, 2025 or (b) the date of the 2025 Annual Stockholder Meeting.

2. Each RSU represents a contingent right to receive one share of Class A common stock of the Issuer. The RSUs will be settled in either Class A common stock of the Issuer or cash (or a combination thereof). 100% of the RSUs will vest on the earlier of either (a) May 22, 2026 or (b) the date of the 2026 Annual Stockholder Meeting.
