Explanation of Responses:

1. Grant of of restricted common stock (the "Shares") pursuant to Issuer's 2020 Equity Incentive Plan. Such Shares were granted as part of Reporting Person's compensation for services as a non-employee director of Issuer.

2. The Shares vest in a single installment on the earlier of the first anniversary of the grant date or the date of the Company's 2027 annual stockholders meeting which is at least fifty weeks after the grant date.
