1. Represents a grant of restricted stock units ("RSUs") with respect to shares of the Issuer's Common Stock that vests in two equal installments on the first two anniversaries of June 1, 2024.

2. The total reported in Column 5 includes (i) the newly awarded RSUs, (ii) 58,883 RSUs previously awarded to the Reporting Person, (iii) 22,423.44 share units previously credited to the Reporting Person pursuant to the 2021 Vimeo, Inc. Deferred Compensation Plan for Non-Employee Directors and (iv) 115,698 shares of the Issuer's Common Stock.
