2. Each restricted stock unit ("RSU") represents the contingent right to receive one share of PROS common stock.

3. These RSUs vested on May 8, 2025, the date of PROS 2025 annual stockholders' meeting.

4. This RSU grant was awarded on May 8, 2025 and will vest on the earlier of May 8, 2026, or the date of the PROS 2026 annual shareholders' meeting.
