In connection with her appointment as the chair of the Audit Committee of the Board of Directors of the Issuer, the Reporting Person received restricted stock units ("RSUs"), which will fully vest on June 9, 2026, subject to continued service on the Board of Directors, and will be settled by delivery of shares of the Issuer's common stock.
