1. Restricted stock units ("RSUs") converted into Class A Common Stock on a one-for-one basis.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Class A Common Stock or, at the election of the Issuer, an equivalent cash payment. The RSUs vest on June 4, 2025, subject to the Reporting Person's continued service with the Issuer through the vesting date.
