Explanation of Responses:

1. The shares subject to the Award will vest on the date immediately preceding the first Annual Meeting following the Date of Grant, subject to the Eligible Director's continued Board service through such date.

2. Automatic award under the Synopsys 2017 Non-Employee Directors Equity Incentive Plan.

3. Prior to April 10, 2025, the reporting person held 356 shares under direct ownership and 1,543 shares under indirect ownership. On April 10, 2025 the reporting person transferred the 356 shares held under direct ownership into the Mercedes Johnson Trust. The transfer is exempt from Section 16 by virtue of Rule 16a-13. The shares are indirectly held by the reporting person through the Mercedes Johnson Trust.
