1. The sales reported in this Form 4 were effected pursuant to a 10b5-1 trading plan adopted by the Reporting Person on March 26, 2024 in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended.

2. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $5.18 to $5.73, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this footnote.

3. Includes shares of Class A Common Stock previously reported as being held Indirectly by the Janet Kerr Living Trust A/A DTD 07/16/2004, which qualifies as a revocable living trust. The Reporting Person has now determined to report these shares as directly held.
