Explanation of Responses:

1. Represents an award of 4,260 restricted shares of the Issuer's Common Stock (the "Award"), which will vest on the date of the Issuer's next annual meeting of shareholders, subject to the Reporting Person continuing to be a service provider through such vesting date. The Award was granted under and subject to the terms of the Amended and Restated 2014 Restricted Share Plan and an award agreement.
