Explanation of Responses:

1. The price reported is a weighted average price per share of Common Stock of the Issuer purchased by the Reporting Person. These shares were purchased in multiple transactions at prices ranging from $7.785 to $7.800, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote.

2. Consists of 5,000 shares held by the Reporting Person's children and 12,646 shares held by a trust for the benefit of the Reporting Person's children for which the Reporting Person is the trustee.

3. Held by a trust for which the Reporting Person is the trustee.

4. Held by the Reporting Person's spouse.
