1. On May 5, 2025, the reporting person was awarded 6,250 shares of restricted stock with respect to the reporting person's service as a director of the Issuer until the 2026 Annual Meeting of Shareholders, at which time the reporting person's award will vest, conditioned on the reporting person's continued service through the vesting date.
