Represents an award of restricted stock units that will vest one-fourth on each of October 18, 2025, January 18, 2026, April 18, 2026, and upon the earlier of (i) the date immediately preceding the Issuer's 2026 annual stockholder meeting or (ii) July 18, 2026, subject to the Reporting Person's continued service through such date.
