Represents restricted stock units, or RSUs, that are a portion of each non-employee director's annual equity compensation as the issuer transitions the timing of non-employee director annual equity grants to align with the issuer's Annual Meeting. The RSUs vest in full on January 27, 2026. Each RSU represents the contingent right to receive one share of the issuer's common stock.
