Explanation of Responses:

1. Annual equity award in the form of restricted stock vesting in full upon the next annual meeting of stockholders. Reflects a value of $215,000 divided by the closing price of common stock on the date of grant.

2. Grant of restricted stock in lieu of 50% yearly cash compensation. Reflects a value of approximately $62,500 (representing 50% of the amount of the non-employee director compensation program's cash retainer having a value of $125,000) divided by the closing price of the common stock on the date of grant.
