Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis.

2. On June 12, 2024, the Reporting Person was granted 5,000 restricted stock units that vested on the earliest of (i) the first anniversary of the date of the Company's 2024 Annual Meeting of Stockholders; (ii) the date of the Company's 2025 Annual Meeting of Stockholders; (iii) a change in control of the Company; and (iv) the director's death or disability.

3. These restricted stock units will vest on the earliest of (i) the first anniversary of the date of the Company's 2025 Annual Meeting of Stockholders; (ii) the date of the Company's 2026 Annual Meeting of Stockholders; (iii) a change in control of the Company; and (iv) the director's death or disability.
