Explanation of Responses:

1. After the close of market on August 16, 2024, the issuer effected a one-for-forty reverse stock split of all issued and outstanding shares of its Class A common stock (the "Common Stock"), which resulted in the reporting person's ownership of issued and outstanding shares of the Common Stock being reduced from 10,125 shares to 254 shares.

2. Represents restricted stock units ("RSUs") granted to the reporting person on September 13, 2024 (the "Grant Date"). Each RSU represents the right to receive one share of Class A Common Stock of the Company.

3. 22,557 of the RSUs vested in full 30 days after the Grant Date. The remaining 37,594 RSUs vest in full on the earlier of the Company's next annual meeting of stockholders or the first anniversary of the Grant Date.
