1. Consists of restricted stock units ("RSUs") granted pursuant to the PetMed Express, Inc. (the "Company") 2024 Omnibus Incentive Plan, which vest on August 8, 2025, subject to continued service on the Board of Directors of the Company through the vesting period. Each RSU represents a right to receive one share of the Company's Common Stock upon vesting.
