1. These common shares of beneficial interest, par value $0.01 ("Common Shares") of Urban Edge Properties (the "Issuer") were issued as "Restricted Stock" under the terms of the Urban Edge Properties 2024 Omnibus Share Plan (the "Omnibus Plan"). These shares shall vest on April 24, 2026, subject to the reporting person continuing to serve on the Issuer's Board of Trustees until such date.
