Explanation of Responses:

1. The reporting person has elected to defer receipt of the shares of common stock until the earlier of (i) 30 days after termination of service as a director or (ii) a change in control event.

2. Each restricted stock unit represents the right to receive, at settlement, one share of GE Vernova Inc. ("GE Vernova") common stock.

3. Represents an award of restricted stock units with respect to GE Vernova common stock that vested on the date of the 2025 GE Vernova Annual Meeting of Stockholders.

4. Represents an award of restricted stock units with respect to GE Vernova common stock that will vest at the earliest of (i) the date of the next GE Vernova Annual Meeting of Stockholders, (ii) the first anniversary of grant or (iii) a change in control event. The reporting person has elected to defer receipt of the shares of common stock underlying the restricted stock units until the earlier of (i) 30 days after termination of service as a director or (ii) a change in control event.
