Explanation of Responses:

1. Share award represents annual equity compensation in the form of a grant of restricted stock units equal to $100,000, divided by the closing price on the date of the Company's 2025 annual meeting of stockholders. The award was made under the Third Amended and Restated 2006 Omnibus Incentive Plan, as amended, and subject to certain vesting, forfeiture, and termination provisions.

2. On December 31, 2024, the Issuer executed a two-for-one stock split with a record date of December 20, 2024, effected in the form of a stock dividend on each share of the Issuer's Class A common stock and Class B common stock.
