Explanation of Responses:

1. Represents an award of 1,336 restricted stock units ("RSUs"), which vested on October 20, 2025. The Reporting Person has elected to defer the issuance of the shares of the Issuer's Class A Common Stock underlying the RSUs until the Reporting Person's termination of service as a director of the Issuer. The RSUs will settle in shares of the Issuer's Class A Common Stock upon such termination of service.
