Explanation of Responses:

1. Effective on October 6, 2023, the issuer effected a 1 to 8 reverse stock split of its common stock (the "Reverse Stock Split"). The amount of securities reported on this Form 4 has been adjusted to reflect the Reverse Stock Split.

2. The shares were purchased and are held by the reporting person's daughter, who may be deemed to share the reporting person's household. The reporting person disclaims beneficial ownership of the shares held by his daughter, and this report should not be deemed an admission that the reporting person is the beneficial owner of his daughter's shares for purposes of Section 16 or for any other purpose.
