Explanation of Responses:

1. On July 20, 2026, Gates Industrial Corporation Ltd. ("New Gates") became the successor issuer to Gates Industrial Corporation plc ("Old Gates") pursuant to a redomiciliation effected through a Scheme of Arrangement (the "Scheme"). The Scheme resulted in New Gates becoming the parent holding company of Old Gates and each Old Gates shareholder receiving one share of New Gates in exchange for one share of Old Gates (the "Exchange"), but did not alter the proportionate interests of such shareholders.
