Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

On August 5, 2022, Michael Kuta, Chief Financial Officer of DMC Global Inc. (the “Company”), provided a letter to the Company in which he stated that he intends to retire from the Company effective March 5, 2023. Mr. Kuta currently serves as the Company’s principal financial officer and principal accounting officer.
