Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed, David Aldous stepped down as co-Chief Executive Officer of DMC Global Inc. (the “Company”) on August 4, 2023. On August 22, 2023, the Company’s Compensation Committee determined to award Mr. Aldous a discretionary bonus of $500,000 in respect of his service as co-CEO during 2023.
