Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 8, 2024, James Chilcoff stepped down as President of Arcadia Products, LLC (“Arcadia”), the architectural building products segment of DMC Global Inc. (the “Company”), effective immediately. In connection with Mr. Chilcoff’s departure, the Company and Mr. Chilcoff expect to enter into a separation agreement and release pursuant to which the Company will agree to provide Mr. Chilcoff certain severance benefits, contingent upon his execution, delivery and non-revocation of a release of claims against the Company and its subsidiaries, and his compliance with certain covenants contained therein.
