Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 27, 2023, Laurence “Jay” Brown, Jr. resigned from the board of directors (the “Board”) of Domo, Inc. (the “Company”), including any committees of the Board, effective January 27, 2023. There were no disagreements between Mr. Brown and the Company on any matter relating to the Company’s operations, policies or practices which resulted in Mr. Brown’s resignation.

Additionally, on February 1, 2023, Dana Evan and Joy Driscoll Durling each resigned from the Board, including any committees of the Board, effective March 1, 2023. There were no disagreements between the foregoing directors and the Company on any matter relating to the Company’s operations, policies or practices which resulted in such directors' resignations.

Item 8.01. Other Events.

On January 30, 2023, the Company entered into a confirmatory employment letter with Daren Thayne, the Company’s Chief Technology Officer and Executive Vice President of Engineering. A copy of Mr. Thayne’s confirmatory employment letter is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
