Item 5.02.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 24, 2021, Lawrence A. Goodfield, Jr. notified Drive Shack Inc. (the “Company”) of his resignation as principal accounting officer of the Company, effective January 14, 2022. Mr. Goodfield’s resignation is not as a result of any disagreement with the policies, practices or procedures of the Company, including its controls or financially related matters. Michael L. Nichols, Chief Financial Officer of the Company, will perform the functions of the Company’s principal accounting officer from the effective date of Mr. Goodfield’s resignation until a permanent successor is appointed.
