Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 18, 2023, the Board of Directors (the “Board”) of Eagle Bulk Shipping Inc. (the “Company”) appointed Ms. A. Kate Blankenship as a director of the Company effective January 18, 2023.

Ms. Blankenship’s term as a director will expire at the Company’s 2023 Annual Meeting of Shareholders. Ms. Blankenship is eligible for cash and equity compensation as described under the heading “2021 Directors’ Compensation” in the Definitive Proxy Statement of the Company filed with the U.S. Securities and Exchange Commission on April 27, 2022, which information is incorporated herein by reference. Ms. Blankenship is not a party to any transaction with the Company that would require disclosure under Item 404(a) of Securities and Exchange Commission Regulation S-K or any arrangement or understanding with any other person pursuant to which she was selected as a director.
