Item 1.01 Entry into a Material Definitive Agreement.

On August 1, 2022, Earthstone Energy, Inc. (the “Company”), EnCap Investments L.P. (collectively, the “Warburg Parties”) entered into the First Amendment to Amended and Restated Voting Agreement (the “Amendment”) which amends the Amended and Restated Voting Agreement dated February 15, 2022, by and among the Company, EnCap and the Warburg Parties (the “Voting Agreement”). Among other things, the Amendment amends the Voting Agreement to eliminate the right of the Warburg Parties to designate a director to the board of directors of the Company.
