Item 8.01 Other Events.

On April 7, 2022, Earthstone Energy, Inc. (the “Company”) issued a press release announcing that its subsidiary, Earthstone Energy Holdings, LLC, has priced a private offering of $550 million aggregate principal amount of senior unsecured notes (the “Notes”) due 2027 to eligible purchasers. A copy of the press release is included as Exhibit 99.1 hereto and incorporated into this Item 8.01 by reference.
