Represents a grant of restricted stock units which will vest as follows: 1/4 of the shares will vest on February 15, 2025, and an additional 1/16 of the shares will vest quarterly thereafter in each of the following twelve quarters, subject to the Reporting Person's continuous service to the Issuer on each such date.
