Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officer.

On November 4, 2022, Kathleen A. Bayless advised the Board of Directors (the “Board”) of Energous Corporation (the “Company”) that she would resign as a director of the Board and from her roles as Chair of the Board’s Audit Committee and as a member of the Board’s Nominating and Corporate Governance Committee, in each case effective on November 4, 2022. Ms. Bayless’ resignation is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
