Item 5.07 Submission of Matters to a Vote of Securities Holders

The Annual Meeting of Stockholders of Esquire Financial Holdings, Inc. (the “Company”) was held on May 25, 2023. The matters listed below were submitted to a vote of the stockholders through the solicitation of proxies, and the proposals are described in detail in the Company’s Definitive Proxy Statement for the Annual Meeting. Of the 8,190,758 shares outstanding and entitled to vote, 6,892,364 shares were present at the meeting in person or by proxy. The stockholders elected all of the nominees listed in Proposal 1, approved Proposals 2 and 3, and approved the 1 Year option for Proposal 4. The final results of the stockholders’ vote are as follows:

Based on the above vote, the Company has determined to include an advisory stockholder vote on the compensation of the Company’s named executive officers in its annual meeting proxy solicitation materials on an annual basis until the next required vote on the frequency of the stockholder vote on executive compensation, which is expected to occur at the Company’s 2029 Annual Meeting of Stockholders.
