Explanation of Responses:

1. Represents a restricted stock award granted to the Reporting Person pursuant to the Issuer's 2022 Omnibus Securities and Incentive Plan. The award will vest as to 66,667 RSAs on July 1, 2024, 66,667 RSAs on August 1, 2024, 66,667 RSAs on September 1, 2024, 66,667 RSAs on October 1, 2024, 66,666 RSAs on November 1, 2024, 66,666 RSAs on December 1, 2024, and 200,000 RSAs on December 31, 2025, in each case, subject to Executive's continued employment with the Company through the applicable vesting date.

2. In connection with the vesting schedule above, the vesting due July 1, 2024, is within sixty days of today's date and is thereby considered to be beneficially owned.

3. Includes 7,271 shares of Common Stock (held in Mr. Evers' IRA) and options that are currently exercisable, and 66,667 RSAs considered beneficially owned for RSAs set to vest on July 1, 2024 .
