Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 11, 2022, Charles Cohen, Ph.D. notified Exelixis, Inc. (“Exelixis”) of his decision not to stand for re-election to the Board of Directors of Exelixis (the “Board”) at the 2022 annual meeting of stockholders of Exelixis (the “Annual Meeting”) and resign from the Board effective as of the Annual Meeting. Dr. Cohen indicated that his decision not to stand for re-election was not a result of any disagreement with Exelixis on any matter relating to Exelixis’ operations, policies or practices.
