Item 5.07 Submission of Matters to a Vote of Security Holders.

On December 19, 2025, FG Nexus Inc. (the “Company”) attempted to hold an adjourned annual meeting of its stockholders (the “Annual Meeting”) pursuant to the proxy statement, dated October 31, 2025 (the “Proxy Statement”). The Annual Meeting was not called to order due to the failure of a quorum of stockholders to be present at the Annual Meeting. The Chairman of the Annual Meeting adjourned the Annual Meeting to 11:00 a.m. Eastern Time on Tuesday, December 30, 2025 (the “Adjourned Meeting”).

The Adjourned Meeting will be conducted virtually at www.virtualshareholdermeeting.com/FGNX2025 on December 30, 2025 at 11:00 a.m. Eastern Time.

All of the Company’s stockholders are invited to attend the virtual Adjourned Meeting to vote on the proposals for which you may vote, as described in this Proxy Statement. However, you do not need to attend the Adjourned Meeting to vote your shares, instead, you may vote your shares on the Internet at www.ProxyVote.com. Proxies submitted through the Internet must be received by 11:59 p.m., Eastern Time, on December 29, 2025.
